The Curiation platform is operated by Haven Contemporary LLC, a Texas limited liability company doing business as Curiation ("Curiation," "we," "us"). Contact: cupchurch@curiation.fm. These Terms apply to curiation.fm, library storefronts operated on the Curiation platform (including custom domains), and related services (together, the "Platform").

1. Agreement and Eligibility#

1.1 By creating an account, completing a purchase, listing a catalog, or otherwise using the Platform, you agree to these Terms of Service (the "Terms"). If you use the Platform for an organization, you represent that you have authority to bind it, and "you" means that organization.

1.2 You must be at least 18 years old and able to form a binding contract. The Platform is a business-to-business service and is not directed to consumers or children.

1.3 Additional terms are incorporated by reference where applicable: the Sync License Agreement issued with each purchase; the Library Agreement for participating libraries; and the Platform's published Use Application definitions and pricing pages.

2. What Curiation Is (and Is Not)#

2.1 Curiation is a licensing platform for independent music libraries. Each library storefront on the Platform is operated for the library named on it (a "Library"). Libraries own or control their catalogs; Curiation does not own any catalog on the Platform, does not compete with its Libraries, and does not alter organic search ranking for compensation.

2.2 Licenses are between the Library and the buyer. When you license music through the Platform, the license is granted by the relevant Library as licensor under the Sync License Agreement. Curiation facilitates discovery, checkout, delivery and record-keeping, and is authorized by each Library to collect payment and issue license documents on its behalf as its limited, disclosed agent.

2.3 No generative AI. Curiation's discovery tools are assistive only. Curiation analyzes catalog audio to power search, tagging, reference-track ("sounds-like") matching, similarity, and ranking — analysis that produces search results, never audio. Curiation does not operate or build any model that generates or outputs audio, does not use Platform content to train generative AI systems, and does not license, sell, or share Platform content with any third party as training data. The full scope of permitted analysis, and the restrictions Curiation is bound by, are set out in Section 3A of the Library Agreement.

3. Accounts#

3.1 Keep your credentials confidential; you are responsible for activity under your account. Notify us promptly of suspected unauthorized use.

3.2 Account information must be accurate and kept current. We may suspend accounts providing false information, and we may decline registration at our discretion consistent with law.

4. Buyer Terms#

4.1 Previews. Streamed previews (including watermarked files) are for evaluation within your organization only. Previews may not be published, synced into released work, or retained in delivered productions.

4.2 Purchases and license issuance. At checkout you select the track(s), Use Application, and scope options (territory, term, paid media tier, stems). On successful payment, the Platform issues the Sync License Agreement and License Certificate for your records, and your download entitlement activates. The license covers what the certificate says it covers — the accuracy of your Production description and scope selections is your responsibility (see the Licensee warranties in the Sync License Agreement).

4.3 Quotes. Uses outside published scopes (including the "Other" use application, requested alterations, or above-ceiling paid media) route to a quote. Quotes become binding only when the Library accepts and payment completes. Curiation never sets a quote's final price.

4.4 Blanket subscriptions. A blanket subscription is per-Library and per-Use-Application, and licenses downloads made during an active subscription for use within that Use Application under the Sync License Agreement terms. Downloads made while the subscription is active remain licensed for productions released during the subscription period after it ends.

4.5 Redownloads. Purchased files may be re-downloaded while your account is in good standing. Licenses attach to the production, not the file; loss of files does not affect a validly issued license.

4.6 Refunds. Because delivery is immediate and digital, completed purchases are final except where (a) delivery failed and cannot be cured, (b) the delivered material materially differs from its listing, or (c) a refund is required by law. Refund requests go to cupchurch@curiation.fm within 14 days of purchase. Where a purchase is refunded, the associated license is void.

4.7 Taxes. Fees are exclusive of applicable sales, use, VAT or similar taxes, which are collected at checkout where required.

5. Library Terms (Summary)#

5.1 Participation as a Library is governed by the Library Agreement. In summary and without limiting that agreement, each Library: (a) warrants one-stop control of its uploaded catalog (100% master and publishing, or full authority to license both); (b) is responsible for the accuracy of its metadata, pricing and storefront content; (c) receives payouts through Stripe Connect per its payout schedule; (d) retains ownership of its catalog, its brand, its client relationships and 100% of writer and publisher performance royalties; and (e) may export its catalog data and leave the Platform.

5.2 Curiation may remove or suspend content that it reasonably believes infringes rights, breaches warranties, is unlawful, or was misrepresented at onboarding.

6. Fees and Payments#

6.1 Payment processing is provided by Stripe; by transacting you also agree to Stripe's applicable terms. Curiation's platform fees for Libraries are stated in the Library Agreement and order records. Published prices for buyers are set by each Library within the Platform's rate-card structure.

7. Prohibited Conduct#

You shall not, and shall not assist any third party to:

  • (a) use any Platform content (tracks, stems, previews, artwork, metadata) to train, fine-tune, or develop any machine-learning or AI model, or as input to any generative audio system;
  • (b) scrape, crawl, bulk-download, or systematically extract Platform content or metadata, whether by robot or manually, except public search-engine indexing of pages we do not restrict;
  • (c) circumvent watermarks, download controls, paywalls, or license scoping;
  • (d) upload Platform content to Content ID, Meta Rights Manager or similar systems as a reference file, or assert ownership claims over Platform content;
  • (e) resell, sublicense, or share account access or delivered files except as the Sync License Agreement permits;
  • (f) misrepresent identity, production details, or scope at checkout;
  • (g) upload content you lack rights to (Libraries), including compositions with unlicensed samples or third-party interests not disclosed at onboarding;
  • (h) interfere with Platform operation, probe or test vulnerabilities except with our prior written consent, or use the Platform in violation of law.

8. Intellectual Property#

8.1 Catalog content belongs to the Libraries (and their composers and artists per their own agreements). The Platform software, design system, search and discovery models, embeddings, indexes, aggregated usage data, and the Curiation name and marks belong to Haven Contemporary LLC. No rights are granted except as expressly stated.

8.2 Feedback you choose to give us about the Platform may be used without restriction or compensation.

8.3 Usage data. Curiation collects transactional and interaction data to operate and improve the Platform, including its search ranking. Per-Library analytics are provided per plan tier. Curiation does not sell personal information.

9. Copyright Complaints (DMCA)#

9.1 We respond to copyright notices under 17 U.S.C. §512. Send notices identifying the work, the allegedly infringing material and its location, your contact details, the required good-faith and accuracy statements, and your physical or electronic signature to our designated agent, registered with the U.S. Copyright Office:

9.2 We may remove or disable access to material identified in a valid notice, notify the party that uploaded it, accept and forward counter-notices, and terminate the accounts of repeat infringers. Notices sent to any address other than the designated agent above may not be effective for purposes of 17 U.S.C. §512.

10. Third-Party Services#

10.1 The Platform depends on third-party services (including Stripe for payments and connected storage and delivery infrastructure). Their availability is not within our control, and their terms apply to their services.

11. Disclaimers#

11.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CURIATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. WARRANTIES REGARDING LICENSED MATERIAL ARE GIVEN BY THE LICENSOR LIBRARY UNDER THE SYNC LICENSE AGREEMENT, NOT BY CURIATION, EXCEPT FOR ANY GUARANTEE CURIATION EXPRESSLY PUBLISHES IN WRITING.

12. Limitation of Liability#

12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR DATA; AND (b) CURIATION'S AGGREGATE LIABILITY ARISING OUT OF THE PLATFORM OR THESE TERMS IS LIMITED TO THE GREATER OF (i) THE AMOUNTS YOU PAID CURIATION IN THE 12 MONTHS PRECEDING THE CLAIM AND (ii) US $100. THIS SECTION DOES NOT LIMIT LIABILITY FOR WILLFUL MISCONDUCT OR LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. Indemnification by You#

13.1 You will defend and indemnify Curiation and the Libraries against third-party claims arising from your breach of these Terms, your content (for Libraries, per the Library Agreement), or your use of licensed material outside its licensed scope.

14. Suspension and Termination#

14.1 You may close your account at any time. We may suspend or terminate accounts for material breach (immediately for breach of Section 7(a)–(d)), for legal risk, or upon Platform discontinuation with reasonable notice.

14.2 Validly issued licenses survive account closure and Platform changes, per their terms. Upon termination, Sections 7, 8, 11–13 and 15, and accrued payment obligations, survive. Libraries retain export rights per the Library Agreement.

15. Governing Law; Disputes#

15.1 These Terms are governed by the laws of the State of Texas, excluding its conflicts-of-law rules. Exclusive venue for any dispute lies in the state and federal courts located in the county of Curiation's principal place of business in Texas, and the parties consent to personal jurisdiction there.

16. Changes#

16.1 We may update these Terms. Material changes will be notified by email or Platform notice at least 14 days before taking effect; continued use after the effective date is acceptance. The version in force at the time of a purchase governs that purchase.

17. Miscellaneous#

17.1 These Terms plus incorporated documents are the entire agreement regarding the Platform; if these Terms conflict with the Sync License Agreement as to a specific license, the Sync License Agreement controls. Failure to enforce is not a waiver. If a provision is unenforceable, the remainder stands. You may not assign these Terms without our consent; we may assign to a successor of the business.
