This Library Agreement (the "Agreement") is between Haven Contemporary LLC, a Texas limited liability company doing business as Curiation ("Curiation," "we," "us"), and the library, publisher, or rightsholder that accepts it by creating a library account or listing a catalog on the Curiation platform (the "Library," "you"). Contact: cupchurch@curiation.fm. The Platform Terms of Service and the Sync License Agreement are incorporated by reference.

1. What This Agreement Is#

1.1 Curiation is a licensing platform for independent music libraries. Under this Agreement you list your catalog on the platform, buyers license it under the Sync License Agreement, and you are paid your share of every transaction. You keep ownership of your catalog, your brand, your client relationships, your pricing authority, and 100% of writer and publisher performance royalties. Curiation acquires no rights in your music beyond the limited authorizations in Section 3.

2. Your Catalog Stays Yours#

2.1 Nothing in this Agreement transfers any copyright or other ownership interest to Curiation. As between the parties, all right, title and interest in your recordings, compositions, artwork, and brand remain yours.

2.2 Non-exclusive. This Agreement is non-exclusive. You may sell, license, and distribute your catalog anywhere else, at any price, at any time. Curiation imposes no most-favored-nation obligation and no restriction on your off-platform pricing.

2.3 No generative AI, ever — and a clear line about what "analysis" means. Curiation does not operate, and will not build, a generative music model. Section 3.4 states precisely what analysis Curiation performs on your catalog and what it is forbidden from doing with it. Curiation will not license, sell, or provide your content to any third party for AI training.

2.4 Neutrality. Curiation does not own or operate any music catalog, does not compete with its Libraries, and does not alter organic search ranking for compensation — yours or anyone else's.

3. What You Authorize Curiation to Do#

3.1 You grant Curiation the non-exclusive, worldwide right, during the term of this Agreement, to: (a) host, reproduce, and transmit your content as needed to operate the platform (including streaming previews, watermarked demos, waveforms, and search indexing); (b) display your catalog, brand name, logos, and metadata on your storefront and in platform-wide discovery surfaces; (c) market and promote your catalog and storefront; (d) deliver purchased files to buyers; and (e) act as your limited, disclosed agent to collect payment from buyers and to issue the Sync License Agreement and License Certificate on your behalf for each transaction, on the platform's standard terms.

3.2 Pricing authority is yours. You set your own prices within the platform's rate-card structure (by use application, territory, term, and paid media tier), and you may change them at any time. For quote-routed requests, the final number is always yours: Curiation never sets or accepts a quote price on your behalf.

3.3 These authorizations end when this Agreement ends, except as needed to honor licenses already issued and complete transactions already in progress.

3A. Analysis of Your Catalog (What We Do, and the Line We Don't Cross)#

3.4 What you permit. You authorize Curiation to computationally analyze your audio, stems, and metadata for the sole purpose of making your catalog findable, licensable, and better presented on the platform, whether by features available today or developed during the term of this Agreement. This includes: generating audio embeddings (numerical representations of a recording's acoustic characteristics) and storing them in a search index; automatic tagging and metadata enrichment (genre, mood, instrumentation, tempo, key, era); similarity, clustering, and map-based discovery surfaces; reference-track and "sounds-like" search, in which a buyer supplies a track or clip and the platform returns acoustically similar cues from participating catalogs; structural analysis (section, tempo, and cue-point detection) to support previewing and editing; loudness, quality, and duplicate-detection checks at intake; provenance and AI-generated-content screening; acoustic fingerprinting for the purpose of identifying your recordings and supporting claim-release under Section 6.1; and training and tuning Curiation's own search, ranking, tagging, and recommendation models on this material. Curiation makes no commitment that any particular feature listed here exists at any given time; this Section grants permission, not a service guarantee.

3.5 The line Curiation will not cross. Curiation shall not, and shall not permit any third party to:

  • (a) use your content to train, fine-tune, or develop any model that generates or outputs audio, or any generative music, voice, or sound-design system, whether operated by Curiation or anyone else;
  • (b) build or retain any model or index from which your recordings could be reconstructed, regenerated, or substantially reproduced — the derived representations Curiation stores are one-way and non-reversible, and Curiation will not build systems whose weights memorize your works;
  • (c) license, sell, share, or otherwise make your content or its derived representations available to any third party as training data, dataset, or corpus, for any purpose;
  • (d) use your content to synthesize, imitate, or emulate a named artist's or composer's voice or style as an output; or
  • (e) use your content to create any product that competes with your catalog.

3.6 Scope and boundaries. Analysis under 3.4 is performed on Curiation's own systems or those of contracted infrastructure providers bound to these same restrictions, and only for platform operation. Models trained under 3.4 may be cross-catalog — that is how comparative search works — but their outputs are limited to search results, rankings, tags, and similarity relationships. No output of any Curiation model is, or contains, audio.

3.7 On termination. On termination, your catalog is removed from the active, searchable marketplace, and your recordings — including audio files and stems — are removed from Curiation's storage. The one-way, non-reversible derived representations described in 3.4 (embeddings, concept and acoustic feature vectors, tags, and the associated usage signals) may be retained by Curiation. Consistent with 3.5, those representations cannot be reconstructed into audio, are never used to train any model that generates or outputs audio, and are never sold, licensed, or shared with any third party as training data or otherwise. Aggregated, de-identified statistics may also be retained. Your export rights under Section 9.1 are unaffected.

3.8 What you get back. The tags, enriched metadata, structural analysis, and quality reports Curiation generates for your catalog are made available to you, and you may export and use them freely, including off the platform, at no additional charge.

4. Your Warranties (the Ones Buyers Rely On)#

4.1 You represent and warrant, for every track you upload, that: (a) you own or exclusively control 100% of the master recording and 100% of the musical composition, or otherwise have full authority to grant one-stop synchronization and master-use licenses on the terms of the Sync License Agreement; (b) no third-party consent (including from any co-writer, PRO, union, guild, sample rights-holder, or prior licensee) is required that has not been obtained; (c) the track contains no uncleared samples or interpolations; (d) the track does not infringe the copyright, moral rights, or rights of publicity of any third party; (e) the metadata you supply (writers, splits, IPI, ISWC, ISRC, ownership and registration information) is accurate and complete to the best of your knowledge; and (f) the track is a human-created work — you will not upload fully AI-generated music, and you will disclose any material use of generative AI in a track's creation at upload.

4.2 These warranties are the foundation of every license the platform issues in your name; buyers rely on them, and Section 8 allocates responsibility accordingly. Notify Curiation promptly at cupchurch@curiation.fm if any warranty ceases to be true for any track, and Curiation will remove it from sale.

5. Fees and Payment#

5.1 Platform fee. Curiation retains a platform fee of twenty percent (20%) of the gross license fee on each transaction (each à-la-carte sale, accepted quote, and blanket-subscription payment attributable to your catalog). Any subscription (SaaS) plan fees for optional storefront or analytics tiers are as published on the platform's pricing page or as separately agreed.

5.2 Payment flow. Payments are processed by Stripe. You must complete Stripe Connect onboarding and maintain a connected account in good standing; payouts of your share (gross license fee minus the platform fee) are routed to your connected account per Stripe's payout schedule. Curiation does not hold escrow balances. You are responsible for Stripe's processing terms applicable to connected accounts.

5.3 Taxes. Where marketplace-facilitator or similar laws apply, Curiation collects and remits sales and use taxes on platform transactions. You are responsible for your own income and business taxes, and for providing accurate tax information (including a W-9 or W-8 as applicable).

5.4 Refunds and chargebacks. If a transaction is refunded under the platform's refund policy, or reversed by chargeback, the associated license is void and your share of that transaction is deducted from your future payouts (or repayable if no payouts are pending). Curiation will contest chargebacks it reasonably believes are invalid.

5.5 Performance royalties. Sync and master fees under this Agreement are separate from public-performance royalties. You and your composers retain 100% of writer and publisher performance royalties, collected through your PRO(s). The platform generates cue-sheet data for buyers to support that collection; Curiation takes no share of, and asserts no claim to, any PRO income.

6. Your Responsibilities#

6.1 Keep your catalog, metadata, pricing and storefront content accurate and current. Upload only content that meets the warranties in Section 4. Where a buyer reports a content-identification claim (YouTube Content ID, Meta Rights Manager or similar) against a production using your music, release or dispute that claim within any system you control, using commercially reasonable efforts to do so within five (5) business days of notice, and cooperate in good faith where the claim originates elsewhere. Maintain the confidentiality of your account credentials.

6.2 You are responsible for your own agreements with your composers, artists and co-owners, including any shares of sync fees you owe them. Curiation pays you; downstream splits are yours to administer.

7. Content Standards; Removal#

7.1 Curiation may decline, remove, or suspend content that it reasonably believes infringes rights, breaches the Section 4 warranties, is unlawful, or was misrepresented at onboarding, and may suspend a storefront while investigating a credible rights complaint. Curiation will notify you and work with you in good faith to resolve disputes, including under its DMCA policy.

8. Indemnification; Liability#

8.1 By you. You will defend, indemnify and hold harmless Curiation and each affected buyer from and against third-party claims, and resulting damages, settlements and reasonable attorneys' fees, arising from a breach of your warranties in Section 4 or from your content. This mirrors the indemnity buyers receive under the Sync License Agreement, under which your total aggregate liability to a buyer for a given license is capped at three (3) times the license fee paid; no cap applies to your obligations to Curiation for claims arising from knowing or reckless breach of Section 4.

8.2 By Curiation. Curiation will defend, indemnify and hold you harmless from third-party claims arising from the operation of the platform itself (excluding your content and excluding licenses issued accurately on your instructions).

8.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOST PROFITS, AND CURIATION'S AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE PLATFORM FEES CURIATION RETAINED FROM YOUR TRANSACTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS SECTION DOES NOT LIMIT SECTION 8.1, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.

8.4 Curiation provides the platform "as is" and does not guarantee any level of sales, traffic, ranking, or revenue.

9. Data and Portability#

9.1 Your data is yours, and you can leave with it. You may export your catalog files and metadata at any time during the term and for ninety (90) days after termination. Curiation will not hold your catalog hostage: on termination, you receive your content data, your transaction history, and your buyer-facing storefront records in a portable format.

9.2 Curiation owns the platform software, its discovery models and indexes, and aggregated, de-identified platform analytics. Per-library analytics are provided to you per your plan tier.

10. Term and Termination#

10.1 This Agreement runs until terminated. Either party may terminate at any time on thirty (30) days' written notice, for any reason. Curiation may suspend or terminate immediately for material breach of Section 4, unlawful content, or legal risk.

10.2 On termination: your listings come down; transactions in progress complete; final payouts are made in the ordinary course; Section 9.1 export rights apply; and licenses already issued to buyers survive per their terms — you will continue to honor them, including the whitelist obligations in Section 6.1, or may delegate that administration to Curiation in writing.

10.3 Sections 2.3 (as to content received during the term), 4, 5.4, 8, 9, and 11 survive termination.

11. General#

11.1 Independent parties. The parties are independent contractors. Except for the limited agency in Section 3.1(e), nothing creates a partnership, joint venture, or employment relationship.

11.2 Publicity. Each party may identify the other by name and logo as a platform participant; either party may withdraw this permission on notice, prospectively.

11.3 Governing law; venue. This Agreement is governed by the laws of the State of Texas, excluding its conflicts-of-law rules. Exclusive venue lies in the state and federal courts located in the county of Curiation's principal place of business in Texas.

11.4 Assignment. You may not assign this Agreement without Curiation's consent, except to a successor of substantially all of your catalog business on notice. Curiation may assign to a successor of the business.

11.5 Entire agreement; changes. This Agreement, the Terms of Service, the Sync License Agreement, and the published rate-card structure are the entire agreement. Curiation may update this Agreement on thirty (30) days' notice; changes do not apply retroactively to transactions completed before the effective date, and if you object to a change you may terminate under 10.1 before it takes effect.

Acceptance#

This Agreement is accepted electronically by creating a library account, completing Stripe Connect onboarding, or listing a catalog on the platform, whichever occurs first. Records of acceptance are retained by Curiation and constitute the record of execution.
